Polivision provides in connection with the Polivision Remote Control (the âPolivision Remoteâ) and the Website, services that allow users to conveniently navigate and explore a variety of Internet media experiences (the âPolivision Servicesâ). The services offered by us include the Polivision Services, the Website, and any other features, content, or, applications offered from time to time by us in connection with the Polivision Services and Website (collectively, the âServicesâ).
Polivision may amend these terms of use at any time by posting the amended terms of use at http://www.polivision.tv/terms. If we make a material amendment to these terms of use, we will notify you by posting notice of such amendment on the Website. Any such amendment to these terms of use will be effective thirty (30) calendar days following our posting of notice of the changes on the Website. 

1. POLIVISION REMOTE AND WEBSITE
The Polivision Remote and Website are made available to you for your personal, non-commercial use only. You may not modify, reproduce, distribute, publish, license, create derivative works from or sell any information or software associated with the Polivision Remote or Website. Furthermore, you may not use the Polivision Remote or Website in any manner that could damage, disable, overburden, or impair the Website or Services. 

2. INTELLECTUAL PROPERTY
You agree that Polivision owns all right, title and interest in and to the Website, Polivision Remote, and Services, including without limitation, any and all copyright, trademark, and other intellectual property rights.

Such links are provided by us only as a convenience, and do not imply our endorsement, adoption or sponsorship of, or affiliation with any such third-party website.  You acknowledge that any third-party sites, and associated content, accessible via the Polivision remote are not controlled by us; different terms of use and privacy policy may apply, and we are not responsible for such sites. Because we do not have control over such content, we make no guarantees about the accuracy, currency, suitability, or quality of the information in such content, and we assume no responsibility for unintended, objectionable, inaccurate, misleading, or unlawful content made available by third-parties.  We accept no responsibility for reviewing changes or updates to, or the quality, content, policies, nature or reliability of third-party Websites, or websites linking to the Website.  You should review applicable terms and policies, including privacy and data gathering practices, of any third-party website when accessing a third-party website through the Services.

5. DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY, AND INDEMNITY
You agree that your use of the Services is at your own risk.  The Services, including without limitation the Polivision Remote and Website, are provided âas isâ and, to the fullest extent permitted by the law, are provided without warranties of any kind, either express or implied.  Without limiting the foregoing, Polivision does not make any warranty of merchantability, fitness for a particular purpose, title, completeness, availability, security, compatibility, or noninfringement; or that the Services will be uninterrupted, free of viruses and other harmful components, accurate, error free, or reliable. You understand and agree that you use the Services at your own discretion and risk and that you will be solely responsible for any damages to your computer system or loss of data that results from the use of the Services.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE EXCEED THE AMOUNT PAID BY YOU, IF ANY, OR $100 (WHICHEVER IS LESS) 
YOU ACKNOWELDGE AND ACCEPT THAT WE MAY CHANGE THE POLIVISION REMOTE, WEBSITE AND SERVICES OR DELETE CONTENT OR FEATURES IN ANY WAY, AT ANY TIME AND FOR ANY REASON OR NO REASON. 
THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION AND ELSEWHERE IN THESE TERMS OF USE APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. 
You agree to indemnify, defend, and hold harmless the Polvision Parties from and against any and all liabilities, claims, damages, expenses (including settlement costs and any legal or other fees and expenses for investigating or defending any actions or threatened actions), and other losses arising out of or in any way related to your breach or alleged breach of these terms or your use of the Services. You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defense and control of any matter otherwise subject to indemnification by you. 

6. JURISDICTIONAL AND VENUE ISSUES 
You agree that any action at law or in equity arising out of or relating to these terms of use, the Polivision Remote, Website, or Services shall be filed, and that venue properly lies, only in state or federal courts located in the borough of Manhattan, New York, New York, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. We make no representation that content accessed in conjunction with the Polivision Remote is appropriate or available for use in any particular location. Those who choose to use the Polivision Remote do so on their own initiative and are responsible for compliance with all applicable laws including any applicable local laws. 

7. MISCELLANEOUS PROVISIONS
These terms of use shall be governed by and construed in accordance with the laws of the State of New York and the laws of the United States, without giving effect to any principles of conflicts of law. If any provision of these terms of use shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms of use and shall not affect the validity and enforceability of any remaining provisions. 

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. No waiver of any provision of these terms of use by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these terms of use shall not constitute a waiver of such right or provision.
